HOW IT WORKS

1. Scope and investment parameters

The e-ISIN platform is designed as a tool for direct connection between investors and companies seeking capital, without participating in the execution of investments.

The platform works with two main groups of investors:

  • Private investors
    minimum investment from EUR 250,000 (or equivalent in another currency)
  • Institutional investors
    minimum investment from EUR 1,000,000 (or equivalent in another currency)

From the perspective of capital seekers:

  • minimum financing volume from EUR 2,000,000 (or equivalent in another currency)
  • for presentation to institutional investors from EUR 10,000,000 (or equivalent in another currency)
  • minimum financing volume from EUR 3,000,000 (or equivalent in another currency) for projects intended solely for distribution through securities dealers

2. Preparation and analytical processing of investment opportunities

The process begins with the submission of basic project information by the party seeking financing. After assessing whether the project meets the basic parameters and requirements of the e-ISIN platform, a member of the business team will contact the applicant to arrange a video conference. During the video conference, the available financing options for the project will be presented, including financing through private investors, institutional investors, or other available distribution channels.

Following the meeting, an investor survey is conducted. As part of this process, potential investors from the relevant target group are contacted and asked whether they have an interest in financing or investing in the project.

The investor survey is conducted among:

  • private investors (typical survey period: 1 week),
  • institutional investors (typical survey period: 2 weeks).

If any of the contacted investor groups expresses interest in the investment opportunity, a financing proposal is prepared and presented based on the results of the survey.

Only after the proposal has been accepted and the interest of all parties has been confirmed do the subsequent stages of the transaction process begin. These may include due diligence, preparation of transaction documentation, investment structuring, legal and financial review of the project, and other related activities.

3. Information distribution and investor engagement

Upon approval of the above information by the client, i.e. the capital seeker, the investment opportunity is published on the platform for a period of 6 months.

Investors who expressed interest in the project during the investor survey are informed about the publication of the due diligence results and the related project documentation. From this point onwards, direct communication between investors and the capital seeker begins.

The platform ensures the visibility of the investment opportunity through a combination of marketing and communication tools, including:

  • regular direct mailing campaigns targeting the investor database,
  • PR activities and media communication,
  • digital campaigns (online and performance marketing),
  • ongoing communication of new investment opportunities to investors.

In the case of institutional investors, communication is complemented by targeted direct outreach, whereby relevant institutional investors are actively contacted by phone and informed about new investment opportunities on the platform, particularly with regard to their investment focus and sector specialization.

The communication also includes online roadshows, during which capital seekers present investment opportunities to investors in an online environment and respond to their questions in real time.

4. Direct connection between investors and capital seekers

Direct interaction between investors and capital seekers is a fundamental principle of the platform.

For each investment opportunity, direct contact between the investor and the capital seeker always takes place, either via a contact form or through directly published contact details.

All subsequent communication takes place exclusively between the investor and the capital seeker, without further involvement of the platform.

5. Video roadshows and presentations

The platform enables the organization of online presentations of investment opportunities (video roadshows), during which capital seekers present their projects and respond to investor questions in real time.

The technical solution allows each participant to communicate in their native language, with real-time automatic translation into the language of the capital seeker, enabling effective interaction between participants from different countries.

STEP 1. - Initial project screening

Send us basic information about your project by email (brief description, required capital, purpose of financing, and expected time horizon). Within 24 hours, we perform an initial screening to assess whether the project meets the basic criteria for inclusion on the e-ISIN platform and whether it aligns with the expectations of the target investors.

This step serves as a fast and efficient filter. It does not constitute an assessment of project quality or a prediction of financing success.

STEP 2. - Recommendation and engagement

Based on the initial assessment of the project, an investor survey is conducted among the relevant investor group, i.e. private investors or institutional investors.

If any of the contacted investor groups expresses interest in financing the project, the capital seeker is presented with a proposal outlining the available financing options and the next steps of the process.

Upon acceptance of the proposal, a cooperation agreement is concluded with the client. Subsequently, work begins on the preparation of due diligence, project documentation, analytical materials, and other legal and financial documentation.

STEP 3. - Preparation of materials and project publication

Upon completion and approval of the documentation by the client, the investment opportunity is published on the e-ISIN platform and communication with investors is initiated.

Investors who expressed interest in the project during the investor survey are informed about the publication of the documentation. At the same time, the project is presented to other investors within the relevant target group.

Communication may include direct investor outreach, targeted presentations of the investment opportunity, and online roadshows facilitating communication between investors and the capital seeker.

STEP 4. - Direct contact with investors

Investors who express interest subsequently contact the issuer or capital recipient directly, either through a contact form or via email.

From this point onward, communication takes place directly between the investor and the capital recipient.
