How it works

Connecting Institutional Investors and Issuers / Capital Recipients

e-ISIN.com is a platform operated by Tomes & Partners, Ltd., connecting institutional investors with issuers / capital recipients. The primary goal is to help investors quickly identify attractive investment opportunities, primarily across Europe and the United States, while allowing issuers to efficiently raise capital for growth, acquisitions, or new projects.

For Institutional Investors:

  • Easy access to selected investment opportunities.
  • Quickly identify projects matching your investment strategy.
  • Simple process to request further information via Letter of Intent (LoI), enabling smooth and professional communication with issuers / capital recipients.
  • Minimum investment per project: 1 million EUR.
  • Time and resource saving through a centralized overview of investment offerings.

For Issuers / Capital Recipients:

  • Efficient channel to reach institutional investors.
  • Ideal platform to raise capital for growth, expansion, or acquisitions.
  • Clear management of investor interest while maintaining confidentiality of sensitive information.
  • Minimum capital demand per project: 3 million EUR.
  • Direct and structured communication with potential investors through the platform, with Tomes & Partners representing the issuer / capital recipient.

Step-by-Step Process:

1 Registration and Verification
  • Investors and issuers / capital recipients complete registration and undergo verification.
  • Once approved, investors can browse offers, and issuers / capital recipients manage their publications.
2 Browsing Opportunities
  • Investors see general information about each offering.
  • Detailed information is accessible only through a Letter of Intent (LoI).
3 Generating a Letter of Intent (LoI)
  • Investor clicks "Request More Information".
  • By checking the box, they confirm LoI authorization: "I hereby generate a Letter of Intent and agree to its terms."
  • The LoI is automatically sent to both the investor and the platform, formally initiating the communication process.
4 Subsequent Steps and Three-Party Communication
  • Once the LoI is generated, a three-party process begins: Tomes & Partners / e-ISIN.com, the institutional investor, and the issuer / capital recipient.
  • Provision of information: All relevant project details are held by us. The issuer / capital recipient is protected as we represent their interests and provide data to the investor through the platform.
  • NDA (if required): If the information is sensitive or constitutes the issuer's / capital recipient’s know-how, the institutional investor signs a Non-Disclosure Agreement (NDA) facilitated by the platform.
  • Video Conference: The platform may arrange a video conference between the issuer / capital recipient and the investor, with Tomes & Partners coordinating and ensuring a smooth process.
