Terms and Conditions – e-ISIN Platform

1. Users and Scope

The e-ISIN platform, operated by Tomes & Partners Ltd, is designed exclusively for professional institutional investors, institutional investors who are also issuers, and issuers/recipients of capital. Users are divided into three categories:

• Institutional Investor — a verified professional or institutional investor authorized to review investment opportunities.
• Institutional Investor / Issuer — an institutional investor who also acts as an issuer or recipient of capital.
• Issuer / Recipient of Capital — a legal entity offering investment opportunities to institutional investors.

2. Publishing Investment Opportunities

Issuers and recipients of capital may only publish investment offers on the e-ISIN platform. The minimum financial value of any project published is EUR 3,000,000.

3. Registration and Verification

All users must complete registration and identity verification. Institutional investors must provide proof of their institutional status. Tomes & Partners Ltd reserves the right to:

• Refuse publication of any investment opportunity;
• Restrict or deny access to institutional investors;
• Reject registration if institutional status is not sufficiently verified.

4. Communication and Access

The platform provides secure access and communication exclusively between institutional investors and issuers/recipients of capital. The platform does not facilitate any financial transactions, trading, or investment execution.

5. Minimum Investment

The minimum investment ticket for institutional investors is EUR 1,000,000.

6. Platform Role

e-ISIN acts solely as a digital intermediary to present investment opportunities and facilitate communication between institutional investors and issuers/recipients of capital. Tomes & Partners Ltd does not execute contracts, provide financial intermediation services, or guarantee the accuracy of information provided by issuers.

7. Liability

Tomes & Partners Ltd shall not be liable for any direct or indirect damages arising from the use of the platform, publication of information, or communication between users.

8. Confidentiality and Non-Circumvention

Institutional investors acknowledge that all communications and information shared through the platform are facilitated by Tomes & Partners Ltd. Investors agree not to circumvent the intermediary and engage directly with issuers, in order to preserve the platform’s role and the intermediary fees.

9. Intellectual Property

All content, logos, and materials on e-ISIN are the property of Tomes & Partners Ltd. Users may not reproduce, distribute, or publicly share any materials without written permission.

10. Data Protection

Users consent to the collection, storage, and processing of personal and corporate information necessary for registration, verification, and platform operations in accordance with applicable law.

11. Termination

Tomes & Partners Ltd may terminate user access at any time, particularly if terms are breached or if registration/verification is inadequate.

12. Modifications

Tomes & Partners Ltd reserves the right to modify these Terms and Conditions. Users will be notified of material changes, and continued use of the platform constitutes acceptance.

13. Governing Law

These Terms and Conditions are governed by the laws of the United Kingdom.
