1. Listing Fees

1.1 Listing Fee for Capital Seekers (Non-Institutional Investors)

Where an issuer or capital seeker that is not an institutional investor requests the publication of an investment opportunity on the e-ISIN platform, the following fee applies:

• Listing Fee: EUR 10,000 per annum (per investment opportunity)

The listing fee covers:

• publication of the investment opportunity on the e-ISIN platform,
• access to the platform’s network of institutional investors,
• standard administrative and technical support related to the listing.

The listing fee is charged on an annual basis and applies for the duration of the listing period.

1.2 Listing by Institutional Investors

Where an investment opportunity is published by an institutional investor, listing terms and fees are determined on an individual basis.

Institutional investors are invited to contact Tomes & Partners directly to receive a tailored commercial proposal.

2. Transaction Commissions

2.1 Commission Structure

In addition to any applicable listing fee, a commission may be payable in the event that an investment transaction is completed as a result of interactions facilitated through the e-ISIN platform.

Transaction commissions depend on several factors, including but not limited to:

• the type of financial instrument or security,
• the structure of the transaction,
• the total transaction volume,
• the applicable jurisdiction and regulatory framework.

2.2 Indicative Commission Range

Indicative transaction commissions typically range from:

• 0.5% to 5%

Commissions may be:

• payable on a one-off basis, or
• structured as ongoing or recurring fees,

as agreed between the relevant parties and documented contractually.

All commission arrangements are assessed and agreed on a case-by-case basis.

3. Roadshows and Targeted Institutional Investor Outreach

Roadshows and targeted outreach activities constitute optional, standalone services and are not included in the listing fee.

3.1 Standalone Roadshow Fees

• First roadshow session: EUR 5,000
• Second roadshow session: EUR 5,000
• Third roadshow session: EUR 2,500

Each roadshow session relates to a specific investment opportunity and is priced separately.

4. What Is Included / Not Included

4.1 Included

Unless otherwise agreed in writing, the fees set out in this Price List relate solely to:

• publication and visibility of investment opportunities,
• access to institutional investors via the platform,
• facilitation of professional communication.

4.2 Not Included

The following are not included, unless expressly agreed:

• legal advice or legal representation,
• regulatory approvals or filings,
• structuring, underwriting or placement services,
• valuation services,
• preparation of offering documentation.

Such services may be provided by Tomes & Partners under a separate mandate or agreement.

5. Non-Binding Nature

Any interaction facilitated through the e-ISIN platform, including any Letter of Intent, is strictly non-binding unless expressly agreed otherwise in writing by the relevant parties.

Submission of a Letter of Intent does not create any obligation to proceed with a transaction.

6. No Guarantees

• Tomes & Partners and the e-ISIN platform do not guarantee participation of any institutional investor,
• do not guarantee transaction completion,
• do not guarantee funding, pricing or closing of any transaction.

7. Regulatory and Legal Positioning

The e-ISIN platform operates solely as an informational and communication interface.

The platform does not constitute:

• a trading venue, exchange or regulated market,
• investment advice or investment recommendations,
• a public offer or solicitation of securities.

Tomes & Partners does not act as a broker-dealer, placement agent, investment adviser or underwriter under the laws of the European Union, the United Kingdom or the United States.

8. United States Securities Law Notice

This Price List and the e-ISIN platform are not intended for public distribution in the United States.

Nothing herein constitutes an offer or solicitation of securities within the meaning of the U.S. Securities Act of 1933, as amended, or any applicable state securities laws.

Access to and use of the platform by U.S. persons is limited to institutional investors in the context of private, off-market transactions.

9. Right to Amend and Refuse

Tomes & Partners reserves the right, at its sole discretion, to amend or update this Price List at any time, refuse publication of any investment opportunity, refuse cooperation with any entity, or suspend or terminate access to the platform.
